Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and Deviantce, the operator of Cairni ("Cairni", "we", "us", "our"). They govern your access to and use of our website, applications, and services (together, the "Service"). By creating an account, clicking "I agree", or using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Account" means your registration to use the Service.
  • "Your Content" means the sources, prompts, messages, and other materials you submit to or generate through the Service.
  • "Output" means AI-generated content the Service returns based on Your Content.
  • "Credits" means the usage units consumed when you use AI features.
  • "Workspace" means a personal or team space in which wikis and billing are organized.

2. The Service

Cairni turns your sources — uploaded files, links, pasted notes, imports from tools such as Notion and Obsidian, and audio recordings — into an interlinked wiki and an assistant that answers questions with citations. To do this, the Service processes Your Content using third-party large language models, including Anthropic (Claude) and Google (Gemini and Speech-to-Text), as described in our Privacy Policy.

AI Output may be inaccurate, incomplete, biased, or out of date. The Service is a productivity tool and does not provide professional advice. You are responsible for evaluating and verifying Output before relying on it, and you must not use the Service as a substitute for professional (legal, medical, financial, or other) advice or for decisions requiring such advice.

3. Eligibility and accounts

  • You must be at least 16 years old, or the age of digital consent in your jurisdiction, and able to form a binding contract.
  • If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and "you" includes that organization.
  • You must provide accurate information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly at support@cairni.com of any unauthorized use.

4. Your Content and license

As between you and us, you retain all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (e.g., to format or index), transmit, and process Your Content — including transmitting it to the AI sub-processors named above and, where you choose, displaying it publicly — solely to operate, provide, secure, and improve the Service for you. This license ends when you delete Your Content or close your Account, subject to routine backups and legal retention.

You represent and warrant that you own or have the necessary rights, consents, and permissions to submit Your Content and to grant this license, and that Your Content and your use of the Service do not infringe or violate the rights of any third party or any law.

Output. Subject to your compliance with these Terms, we assign to you whatever rights we may have in the Output generated for you, so that you may use it for your own purposes. Because AI systems may produce similar outputs for different users, we make no exclusivity guarantee, and you are responsible for your use of Output.

5. Acceptable use

You agree not to, and not to permit anyone to:

  • upload, generate, or distribute content that is unlawful, infringing, defamatory, obscene, harassing, hateful, or that you have no right to use;
  • violate the intellectual-property, privacy, publicity, or other rights of others, or upload personal data of others without a lawful basis;
  • upload malware or attempt to gain unauthorized access to, probe, scan, or disrupt the Service, its infrastructure, or other users;
  • reverse engineer, decompile, or attempt to extract source code, models, or weights, except where this restriction is prohibited by law;
  • scrape or harvest data, or access the Service through automated means except via interfaces we provide;
  • resell, sublicense, or provide the Service to third parties as a service bureau without our authorization;
  • use the Service or Output to develop a competing product or to train, fine-tune, or improve a competing AI model;
  • circumvent or exceed usage limits, Credits, rate limits, or access controls, or share Account access to evade them;
  • generate content that facilitates serious harm, or that violates the usage policies of our AI providers.

We may use automated and manual means to enforce these rules and may remove content or suspend access for violations.

6. Public wikis and sharing

The Service lets you optionally publish a wiki so that anyone can read it, and to share wikis within a team Workspace. If you publish or share, you are responsible for ensuring you have the right to do so and that the content complies with these Terms. You can make a wiki private again at any time, though cached or indexed copies may persist for a period outside our control.

7. Plans, Credits, billing, and Paddle

Cairni offers a free tier and paid subscription plans (Pro, Plus, Max, and Team), described on our Pricing page. Paid plans include a monthly allotment of Credits that are consumed as you use AI features; Credits and their refresh cadence are set by your plan, are not transferable, and have no cash value.

Payments are processed by Paddle.com Market Limited ("Paddle"), our authorized reseller and Merchant of Record. Your purchase is therefore also subject to Paddle's buyer terms; Paddle (not Cairni) is the seller of record on your statement and is responsible for invoicing, collecting and remitting applicable sales tax/VAT, and processing refunds.

  • Auto-renewal: paid subscriptions renew automatically at the then-current price each billing period until cancelled.
  • Taxes: prices may exclude taxes, which Paddle adds at checkout based on your location.
  • Price and plan changes: we may change prices or plan features; changes apply to future billing periods, and we will give notice where required by law.
  • Team plans are billed per seat; the workspace administrator is responsible for managing seats and for charges.
  • Cancellation and refunds are governed by our Refund Policy.

8. Third-party services and integrations

The Service relies on and integrates with third parties, including AI providers (Anthropic, Google), sign-in providers (Google, GitHub), import sources (Notion, Obsidian), and the payment provider (Paddle). Your use of those integrations is also governed by the respective providers' terms, and we are not responsible for third-party services, their availability, or their acts and omissions.

9. Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

10. Intellectual property

The Service, including its software, design, text, graphics, and the "Cairni" name and logos, is owned by us and our licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not use our marks without our prior written permission.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAIRNI AND ITS OPERATOR, AND OUR SUPPLIERS AND LICENSORS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnification

You will defend, indemnify, and hold harmless Cairni and its operator from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your breach of these Terms or of any law or third-party right.

14. Suspension and termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we may delete Your Content after a reasonable period, subject to legal retention. Sections that by their nature should survive termination (including Sections 4, 9–13, and 16) will survive.

15. Changes to the Service and these Terms

We may modify or discontinue features of the Service. We may also update these Terms; we will post the updated version with a new "Last updated" date and, for material changes, provide reasonable notice. Your continued use after changes take effect constitutes acceptance. If you do not agree to the updated Terms, stop using the Service.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Korea, without regard to its conflict-of-law rules. The courts located in Seoul, Republic of Korea will have jurisdiction over disputes, except that this does not deprive you of the protection of mandatory consumer-protection laws or the right to bring proceedings in the courts of your country of residence where such rights apply. We encourage you to contact us first at support@cairni.com to resolve any dispute informally.

17. General

  • Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Severability: if any provision is unenforceable, the rest remains in effect.
  • No waiver: our failure to enforce a provision is not a waiver.
  • Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
  • Entire agreement: these Terms, the Privacy Policy, and the Refund Policy are the entire agreement between you and us regarding the Service.
  • Notices: we may provide notices by email or in-product; you consent to receiving them electronically.
